After obtaining my law degree, I completed a post-graduate university course to qualify as a specialist in company law. As an attorney, I have been involved in the transformation and acquisition of several credit institutions and financial enterprises, in cooperation with other attorneys and international and domestic law firms. Most recently, as a collaborating attorney, I was actively involved in providing legal support for the merger of two leading credit institutions. Prior to that, I provided full legal support for a leading telecom company in company law matters. As an attorney-at-law, I also regularly provide company law services to small and medium-sized enterprises.<\/p>\n<p>My main services in this framework include:<\/p>\n<ul>\n<li>coordination of transformations: mergers, spin-offs, corporate form changes<\/li>\n<li>assisting in mergers and acquisitions<\/li>\n<li>due diligence of target companies, analysis of contractual relationships, identification of risks, drafting of relevant contracts (e.g. confidentiality agreements, share purchase agreements)<\/li>\n<li>representing companies in the course of registration and amendment notification proceedings before the regional court acting as a registry of companies<\/li>\n<li>legal representation in winding-up, liquidation, and bankruptcy proceedings<\/li>\n<li>legal representation in corporate litigation<\/li>\n<li>drafting, reviewing and negotiating articles of associations and internal regulations (rules of procedure, organisational and operational policies)<\/li>\n<li>preparing and managing meetings of corporate bodies (e.g. preparing invitations to meetings of the supreme body, preparing minutes of meetings and resolutions of the supreme body)<\/li>\n<li>drafting syndicate agreements<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>I have extensive experience in the fields of corporate law and M&#038;A (mergers and acquisitions).
